Terms of Service
Last updated: 9 April 2026 · These terms govern your use of the EcomLinx platform and managed services.
1. Acceptance of terms
By accessing or using the EcomLinx platform and services ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service.
These Terms apply to all users including sellers, agency accounts, and team members added to an account. EcomLinx Solutions Private Limited ("EcomLinx") reserves the right to modify these Terms at any time with 14 days' notice.
2. Description of service
EcomLinx provides:
SaaS Platform: a multi-channel ecommerce management platform including Listings OS, Inventory OS, Orders, Returns, P&L Analytics, and Ads Intelligence.
Managed Services: account management, listing creation, PPC advertising, A+ content, and marketplace growth services delivered by EcomLinx staff on behalf of clients.
These Terms apply to both. Managed services engagements are also governed by a separate Statement of Work (SOW) or service agreement signed at onboarding.
3. Accounts & access
You must be at least 18 years old and authorised to act on behalf of any business you represent.
You are responsible for maintaining the security of your account credentials. EcomLinx is not liable for unauthorised access resulting from your failure to keep credentials secure.
You may invite team members to your workspace. You are responsible for all actions taken under your account, including actions by team members.
EcomLinx may suspend accounts that violate these Terms without prior notice.
4. Subscription & payment
Plans: EcomLinx offers a Free Trial (7 days, no card required), Starter, Growth, and Pro plans with features as described on the pricing page.
Billing: paid plans are billed monthly or annually in advance. Currency: INR via Razorpay for India; USD/GBP via Stripe for USA/UK.
Free trial: 7-day free trial on paid plans. No credit card required. After trial, your account moves to the free Starter plan unless you add payment.
Cancellation: you may cancel at any time. Access continues until the end of the current billing period. No refunds are issued for partial periods.
Price changes: we will give 30 days' notice before increasing prices. Continued use after the effective date constitutes acceptance.
5. Acceptable use
You may not use the Service to:
- Violate any law or marketplace terms of service
- Transmit malware, spam, or engage in phishing
- Scrape, reverse engineer, or copy any part of the platform
- Resell or sublicense access without an Agency plan and written permission
- Manipulate marketplace reviews, ratings, or rankings
- Process data of third parties without appropriate legal basis
EcomLinx reserves the right to terminate accounts in violation of these terms without notice or refund.
6. Marketplace credentials & data ownership
Your data is yours. Orders, listings, inventory, and P&L data you bring to the platform remain your property.
When you connect a marketplace, you grant EcomLinx a limited, revocable licence to access and process data from that marketplace solely on your behalf and as directed by your use of the Service.
You represent that you have the right to grant this access and that your marketplace accounts are in good standing.
EcomLinx does not guarantee continued API access - marketplace API policies can change at any time and are outside our control.
7. Intellectual property
EcomLinx platform, software, UI, documentation, and branding are owned by EcomLinx Solutions Private Limited. Nothing in these Terms grants you any right to use EcomLinx's trademarks, logos, or brand assets.
You retain all IP rights in your product data, images, and content. By uploading content to the platform, you grant EcomLinx a limited licence to process and display that content solely to provide the Service.
8. Availability & SLA
EcomLinx targets 99.5% uptime for the SaaS platform, excluding scheduled maintenance windows (communicated 24 hours in advance).
We do not guarantee uninterrupted service. Downtime caused by third-party APIs (Amazon, Flipkart, etc.), your marketplace accounts, payment gateways, or force majeure events is excluded from SLA calculations.
Managed services timelines are governed by the Statement of Work agreed at project start.
9. Limitation of liability
To the fullest extent permitted by law:
EcomLinx's total liability to you for any claims arising from or related to the Service shall not exceed the fees you paid in the 3 months preceding the claim.
EcomLinx is not liable for: loss of profits, loss of revenue, loss of data, loss of marketplace rankings or account standing, or any indirect, incidental, consequential, or punitive damages.
Marketplace actions (account suspension, listing removal, policy enforcement) are decisions made by marketplace operators. EcomLinx provides tools and services to help you comply - we are not responsible for marketplace decisions.
10. Indemnification
You agree to indemnify, defend, and hold harmless EcomLinx, its directors, officers, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from:
- Your use of the Service
- Your breach of these Terms
- Your violation of any marketplace's terms of service
- Any content or data you submit to the platform
11. Termination
You may terminate your account at any time from Settings → Billing. EcomLinx may terminate or suspend your account with 14 days' notice, or immediately for material breach.
On termination: your data is retained for 30 days during which you may export it, then permanently deleted (subject to legal retention obligations in Section 6 of the Privacy Policy).
12. Governing law & disputes
These Terms are governed by the laws of India.
For disputes: we encourage resolution through our support team first (info@ecomlinx.com). If unresolved, disputes shall be submitted to binding arbitration under the Indian Arbitration and Conciliation Act, 2015, seated in Bhubaneswar, Odisha, India.
For UK and EU customers: nothing in these Terms removes your rights under applicable consumer protection law. Mandatory statutory rights are not affected.
